01 Parties & Acceptance

These Terms and Conditions (“Terms”) govern the relationship between Coach Academy (Canada Coach & Mentor Academy Inc.) , an Ontario Corporation operating under the trade names “Coach Academy,” “Canada Coach Academy,” and “USA Coach Academy” (hereinafter “Coach Academy,” “we,” “us,” or “our”), and any individual who accesses our website, enrolls in a program, or uses our services (the “Student” or “Consumer”).

By accessing our website, enrolling in a program, or signing a Student Enrollment Agreement, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use our Services.

Each Student Enrollment Agreement entered into between Coach Academy and a Student constitutes a Future Performance Agreement under the Consumer Protection Act, 2002 (Ontario) , because services are not fully supplied at the time of signing.

02 Eligibility

Our Services are intended for individuals who are at least 18 years of age. By using our Services, you represent and warrant that you are at least 18 years old, have the legal capacity to enter into a binding agreement, will use the Services only for lawful purposes, and that all information you provide is accurate and current.

03 Description of Services

Coach Academy provides professional and personal development programs delivered primarily through live virtual classes and proprietary course materials. Programs vary in duration, start date, and delivery format, as specified in each Student Enrollment Agreement.

We reserve the right to modify, substitute, or reschedule program content with reasonable notice, provided the overall scope and value of the program is maintained.

04 Registration & Account

To access our Services, you must register for an account and provide accurate, complete, and up-to-date information. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You may not share or transfer your enrollment without our prior written consent.

05 Total Price & Payment Terms

PROGRAM TUITION

All program fees are stated in the Student Enrollment Agreement. The total price including applicable taxes will be clearly disclosed prior to enrollment. Applicable sales taxes (e.g., HST/GST) are applied based on the Student’s province of residence. Students residing outside Canada may be exempt from Canadian sales tax; exemption eligibility is determined at enrollment.

• Total Program Fee — the full tuition for the enrolled program
• Registration Fee — a non-refundable deposit due at enrollment (see Section 10 for exceptions)
• Remaining Balance — total program fee less the registration fee, payable as agreed

PAYMENT AUTHORIZATION

By completing enrollment, you authorize Coach Academy (or its payment processor) to charge the payment method provided for all amounts due. Payments are processed through secure third-party payment providers.

TAX RECEIPTS

If the Student voluntarily provides their Social Insurance Number (SIN), Coach Academy may issue an eligible tuition tax receipt (e.g., T2202) in compliance with applicable privacy legislation.

06 Payment Plans

Where a payment plan is selected, installments are due on the 1st of each month . The number of installments, payment dates, and amount per installment (taxes included) are set out in the Student Enrollment Agreement. The payment plan is a financing accommodation only and does not reduce the total tuition owed.

Students may also elect to pay by e-transfer on the 1st of each month, subject to confirmation at enrollment. Failure to make timely payments may result in late fees, suspension of access, acceleration of the remaining balance, or termination of enrollment as described in Section 8.

07 Fixed Tuition Obligation

The Student acknowledges and agrees that enrollment constitutes a binding obligation to pay the full tuition amount . Tuition is not calculated on a per-class basis, and the payment obligation is not contingent upon participation, completion, satisfaction, certification, or employment outcome.

Withdrawal, non-attendance, dismissal, personal hardship, or job loss does not cancel or reduce the Student’s obligation to pay the full contracted tuition, except where cancellation rights are expressly provided under the Consumer Protection Act, 2002 or other applicable legislation.

Certificates of completion will not be issued until all amounts owing are paid in full.

08 Late Payments & Default

Late payments incur interest at 2% per month (24% per annum effective APR) . If any installment remains unpaid for 15 days , Coach Academy may suspend program access, declare the remaining balance immediately due (acceleration), terminate enrollment, and/or pursue collection remedies permitted by Ontario law. The Student is responsible for reasonable legal and collection costs as permitted by law.

09 Credit Card Authorization

If the Student elects to pay by credit card, they authorize Coach Academy to automatically charge the card on file for monthly installments, outstanding balances, and applicable late fees. This authorization remains in effect until all amounts are paid in full. If the card is declined or expires, the Student agrees to provide updated payment information immediately.

10 Cancellation & Refund Policy

Coach Academy’s refund policy complies with the Consumer Protection Act, 2002 (Ontario).

10.1 — Cooling-Off Period

The Student may cancel for any reason within ten (10) business days of signing the enrollment agreement by providing written notice. Coach Academy will refund all amounts paid minus the non-refundable Registration Fee within thirty (30) days.

10.2 — Cancellation Before Program Start Date

If cancelled after the cooling-off period but before the program start date, Coach Academy will refund amounts paid less a $500 Administration Fee and the non-refundable Registration Fee, within thirty (30) days of receiving written notice.

10.3 — Withdrawal After Program Commencement

Refunds after the program has started are based on the percentage of scheduled classes delivered at the time written notice is received:

After 20% of scheduled classes delivered | No refund. Full tuition remains owing.

10.4 — Registration Fee

The Registration Fee is non-refundable in all circumstances , except where expressly required by applicable law.

10.5 — Administration Fee on Refunds

A $500 administration fee applies to all approved refunds, in addition to the non-refundable Registration Fee.

10.6 — Payment Plan Obligations Upon Withdrawal

Students on a payment plan who withdraw remain responsible for all tuition not eligible for refund. Installments for the non-refundable portion continue on the original schedule. Any overpayment will be refunded within thirty (30) days.

10.7 — How to Cancel or Withdraw

All cancellation and withdrawal requests must be submitted in writing to accounting@coachacademy.com . The effective date is the date Coach Academy receives the written notice.

10.8 — Refund Method

All refunds are issued using the same payment method originally used. Credit card payments are refunded to the same card account.

10.9 — Statutory Rights

Nothing in this section limits or waives any cancellation or refund right under the Consumer Protection Act, 2002 , the Private Career Colleges Act, 2005 (if applicable), or any other applicable legislation. In the event of conflict, statutory rights prevail.

11 Program Pause

Students may request a temporary program pause subject to the following conditions:

A $150 administrative fee applies to all pauses

• Payment obligations continue during the pause
• The program must be resumed within 12 months of the original start date
• Resuming after 12 months will incur additional fees at current tuition rates

12 Intellectual Property

All course materials — including videos, workbooks, frameworks, slides, trademarks, logos, and all other content — are the exclusive proprietary intellectual property of Coach Academy, protected by Canadian and international copyright and trademark laws.

The Student receives a limited, personal, non-transferable license to access materials solely for personal development during the enrollment period. The Student shall not copy, record, distribute, or share materials; share login credentials; record classes; or use materials to develop competing products or services. Unauthorized use constitutes copyright infringement and may result in termination without refund and legal action.

13 User Conduct

You agree to use our Services lawfully and respectfully. Prohibited conduct includes harassing or threatening participants or staff, transmitting unlawful or defamatory content, attempting unauthorized system access, using Services fraudulently, and violating applicable laws. We reserve the right to terminate enrollment for violations without notice or refund.

14 Limitation of Guarantees

Coach Academy makes no guarantees regarding employment, income, business success, or certification approval by any third-party body. The Student’s financial commitment is voluntary and unconditional, subject only to the statutory cancellation rights described in Section 10.

15 Disclaimer of Warranties

Our Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Coach Academy disclaims all warranties, express or implied. Coaching and educational content is for personal development purposes only and does not constitute legal, financial, medical, or psychological advice.

16 Limitation of Liability

To the fullest extent permitted by Ontario and Canadian law, Coach Academy and its founders, employees, contractors, and affiliates shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of our Services. Total cumulative liability shall not exceed the total tuition paid for the specific program giving rise to the claim.

17 Indemnification

You agree to indemnify and hold harmless Coach Academy, its owners, officers, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from your violation of these Terms, your use of our Services, or your violation of any third-party rights.

18 Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. The parties attorn to the exclusive jurisdiction of the courts of Ontario. Disputes should first be raised in writing; if not resolved within 30 days, either party may pursue formal legal remedies in the Superior Court of Justice in Ottawa, Ontario.

19 Entire Agreement & Amendments

These Terms, together with the signed Student Enrollment Agreement, constitute the entire agreement between the parties and supersede all prior oral or written communications. No verbal representations are binding. Any amendment must be in writing and signed by both parties.

20 Changes to These Terms

We may update these Terms from time to time. Material changes will be posted with a revised “Last Updated” date and communicated to enrolled students by email. Continued use of our Services constitutes acceptance of revised Terms. Changes do not retroactively alter the terms of a signed Student Enrollment Agreement.
